Nourish External RD Referral Program: Terms & Conditions

- Sponsor. This program is run by Nourish, Inc., 3724 Jefferson St, Suite 104, Austin, TX 78731 ("Nourish").
- Program period. Referrals must be submitted through the official program form between October 24, 2026 and 11:59 PM Eastern Time on December 31, 2026 ("Program Period"). Nourish may change or end the program at any time, as described in Section 12.
- Who can refer ("Referrer"). You must be at least 18 and a legal U.S. resident. You cannot take part if you are:
- (a) a current Nourish employee or contractor (who must use the internal referral program instead);
- (b) someone whose employer prohibits accepting this kind of payment.
- Valid referrals. A referral counts only if all of the following are true:
- (a) The person referred ("Referee") is a credentialed Registered Dietitian Nutritionist who is authorized to work in the U.S.
- (b) The referral came through the official program form before the Referee applied to Nourish.
- (c) The Referee is not a former Nourish provider.
- (d) The Referee is not the Referrer. You cannot refer yourself.
If more than one person refers the same Referee, only one Referrer can earn a reward. Credit goes to the first valid referral, based on Nourish's records.
- Qualifying hire and reward. You earn a one-time reward of $500 if the Referee:
- (a) submits a completed application to Nourish by 11:59 PM Eastern Time on December 31, 2026;
- (b) is hired by Nourish; and
- (c) completes their first patient session with Nourish by 11:59 PM Eastern Time on February 28, 2027 ("Qualifying Event").
No reward is paid if either deadline outlined above is missed. Nourish, in its sole discretion, shall make the hiring decision with respect to any Referee, and no such decision can be appealed or challenged. The duration of the hiring process for any Referee will vary. A referral does not guarantee an interview or a job offer.
Reward amounts and qualifying criteria may differ by event, region, or promotion. Nourish may run other referral promotions with different terms. Unless a promotion is offered to you directly, it doesn't affect these terms.
- 6. Referee bonus. A Referee who completes the Qualifying Event is eligible for a one-time $100 bonus, following completion of the Qualifying Event. This bonus shall be paid through Nourish payroll and is subject to standard tax and employee-directed withholdings and all Nourish employment policies.7. Payment and taxes.

- Rewards are paid once a month. Rewards for Qualifying Events that Nourish confirms during a calendar month are sent within two months of the referral activating. Payment goes through a third-party digital rewards provider, and you choose from the redemption options it offers.
- Before payment, you must provide a valid email address and complete any tax forms requested, including IRS Form W-9.
- You have 6 months from its issue date to claim a reward. Rewards not claimed in that time, or delayed because your information is missing or wrong, may be cancelled without further notice and forfeited.
- Rewards count as taxable income, and you are responsible for any taxes owed. Nourish may issue a Form 1099 where the law requires one.
- Rewards cannot be transferred.
- 8. Limits. You can earn rewards for up to 4 qualifying referrals ($2,000 in the aggregate) during the Program Period. Nourish may also set limits per week, month, or other period.
- 9. No connection to patient referrals. Rewards are paid only for referring job candidates. They do not depend on, and are not connected to, referring patients to Nourish, ordering or recommending any item or service, or any business paid for by Medicare, Medicaid, or any other federal or state health care program. Nourish does not consider patient referral activity in any reward decision.
- Employer policies. You are solely responsible for making sure taking part in this program complies with your employer's policies on outside payments, gifts, and conflicts of interest.
- Privacy and consent. By submitting a referral, you confirm that the Referee agreed to share their contact information with Nourish. You also confirm they agreed to be contacted about job opportunities, including by automated email, call, or text message. The Referee can opt out of contact at any time.
Nourish uses referral information only to run this program and for recruiting, as described in the Nourish Privacy Policy. You may not use spam, bulk messaging, or misleading statements to get referrals.
- Nourish's rights. Nourish may, at its sole discretion:
- (a) change, suspend, or end the program at any time; referrals already submitted are handled under the terms in effect when they were submitted;
- (b) decide whether a referral is valid and whether a reward is owed;
- (c) withhold, reduce, or recover any reward that Nourish believes was issued in error, obtained by fraud, or earned in breach of these terms or the law. This includes splitting a reward with a Referee to game the program.
- 13. General.Void where prohibited or restricted by law.

- Taking part does not make you an employee, agent, or partner of Nourish.
- These terms are governed by the laws of the State of New York.
- These terms are the entire agreement about the program.
All Nourish decisions under this program are final and cannot be appealed.
